The agreement for using Vincino

Important

These Terms are a binding agreement with Vincino, the operator of Vincino. Vincino helps organize sales work; it does not supply legal permission to contact anyone. You and your organization remain responsible for consent, do-not-call, privacy, recording, advertising, and other laws that apply to your outreach.

1. Agreement and eligibility

By creating an account, accepting these Terms, or using Vincino, you agree to these Terms and acknowledge the Privacy Policy. You must be at least 18 and legally able to enter a contract. If you use Vincino for an organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use Vincino.

2. Accounts, teams, and administrators

Provide accurate, current information; protect your credentials; use a unique password; and promptly report suspected unauthorized access. Accounts are individual and may not be shared. You are responsible for activity under your account except to the extent caused by Vincino's breach of these Terms.

Workspace owners, authorized administrators, and sales managers can invite members. They can also remove members within the permissions assigned to their role. Owners and authorized administrators may assign roles, access workspace content, change plans, and manage the workspace. Your organization, not Vincino, decides who receives access and how CRM content is used. When joining an employer or customer workspace, you understand that its authorized managers may access and control information in that workspace.

3. Plans, limits, and paid subscriptions

Features, member allowances, and map-search limits are those shown at signup or in Vincino's current plan description. Limits apply per workspace and may be enforced technically. You may not evade them through multiple accounts, automation, or other means.

Auto-renewal:Map Pro and Map Team are monthly subscriptions. The price and billing interval are shown before checkout. By affirmatively accepting the recurring-billing terms and completing Stripe Checkout, you authorize Stripe, on Vincino's behalf, to charge the selected payment method at signup and each month until cancellation. Taxes may be added where required.

You can cancel through the Vincino billing portal before the next renewal. Unless checkout states otherwise, cancellation takes effect at the end of the current paid period and access continues through that period. Except where required by law or expressly promised in writing, fees already charged are non-refundable and partial periods are not prorated. Contact us using “Billing and refunds” for billing errors or rights provided by applicable law. Chargebacks do not cancel the underlying subscription or replace the cancellation process.

We may change future prices or plan contents with advance notice required by law. A material price increase will not be charged until the applicable notice period has passed and any additional consent required by law has been obtained. Stripe's services are also governed by the terms and privacy notice Stripe presents to you.

4. Google Maps and business information

Map and place features use Google Maps Platform. Your use of those features is subject to the Google Maps/Google Earth Additional Terms and Google Privacy Policy. You must preserve required Google attribution and must not scrape, bulk download, export, resell, reconstruct, or create a substitute directory from Google Maps content; bypass technical controls; or use map content outside the permissions supplied by Vincino and Google.

Place information may be incomplete, inaccurate, duplicated, or outdated. Vincino does not warrant that a business is open, that a number or website belongs to the intended recipient, or that contacting a listing is lawful. Verify important information before acting on it.

5. Outreach, calling, and do-not-contact duties

Vincino opens a device's configured phone handler; Vincino does not itself place, transmit, dial, record, monitor, or provide the telephone call. Logging a call in Vincino does not prove legal consent or compliance.

You must, before and during outreach:

  • determine whether each contact is business or consumer outreach and identify every law and rule that applies in the caller's and recipient's locations;
  • obtain and document consent where required; scrub applicable national, state, internal, and industry do-not-call lists at the required frequency; honor revocation and do-not-contact requests promptly; and maintain a compliant internal suppression process;
  • follow calling-hour, caller-identification, abandonment, disclosure, recordkeeping, and registration requirements;
  • obtain all-party or other required consent before recording, transcribing, monitoring, or using call audio;
  • avoid prerecorded or artificial-voice messages, automated dialing, robotexts, spoofing, deception, harassment, repeated unwanted calls, or misrepresentation through Vincino; and
  • have a lawful source and lawful basis for every lead and respect privacy, consumer-protection, sector-specific, and contractual restrictions.

A lead marked “Do not contact” is a suppression instruction. You must not contact it through another account, device, export, or channel unless you have documented that the request was entered in error or that a later, legally valid request or consent permits the contact. Vincino may suspend activity that creates legal, reputational, or safety risk.

6. Customer data and privacy compliance

You retain ownership of content you or your organization submit, including lead records, notes, outcomes, and reviews (“Customer Data”). You give Vincino a non-exclusive, worldwide, limited license to host, copy, transmit, display, modify, and otherwise process Customer Data only as reasonably necessary to provide, secure, maintain, and support Vincino, comply with law, and enforce these Terms.

You represent that you have all rights, notices, permissions, contracts, and lawful bases needed for Customer Data and Vincino's processing of it. Do not submit payment-card data, Social Security or government identification numbers, account passwords, protected health information, biometric templates, precise financial-account data, information about children, special-category data, or other information requiring heightened protection unless Vincino has expressly agreed in a signed writing. Vincino is not designed for HIPAA-regulated data or child-directed services.

To the extent Vincino processes personal data on your behalf, it will act on documented instructions in these Terms and the configured service; limit access to personnel and providers with confidentiality duties; use reasonable security measures; assist with legally required data-subject requests and incident duties taking account of the nature of processing; and delete or return Customer Data at the end of service subject to legal retention and backup cycles. Contact Vincino before using the service where a separate data processing agreement, transfer mechanism, or security addendum is legally required.

Community Signals is available only on eligible paid plans. A rating remains team-only unless the submitting user affirmatively chooses to contribute it. When enabled, you grant Vincino permission to combine the Green, Yellow, or Red rating with other eligible workspace ratings for the same Google Place ID and display the resulting aggregate to eligible users. Vincino does not publish the contributor's name, workspace, email, or written team note through Community Signals. A workspace receives one combined signal per business regardless of how many of its members contribute. Vincino stores the Google Place ID for the aggregate and requests current listing details from Google Maps when an eligible user views it. An opted-in rating may appear in the aggregate immediately after it is saved.

Community Signals expresses subjective sales-likelihood sentiment. It is not a consumer review, endorsement, credit assessment, or factual statement about a business's quality, solvency, character, legal compliance, or willingness to buy. You must not use it as the sole basis for a legally significant, discriminatory, lending, employment, housing, insurance, or eligibility decision.

7. Acceptable use

You may not:

  • violate law, another person's rights, these Terms, or a provider's terms;
  • harass, threaten, discriminate, defraud, impersonate, or misrepresent affiliation, products, pricing, or purpose;
  • access another workspace without authorization; probe or bypass security, roles, maintenance mode, rate limits, or plan controls;
  • introduce malware, interfere with service, overload systems, use unauthorized bots or scraping, or attempt to derive source code except where law expressly permits;
  • use Vincino to build a competing map/place database, sell third-party data, or process data obtained unlawfully; or
  • upload content that is unlawful, infringing, defamatory, or that exposes confidential information without authority.
  • manipulate Community Signals through coordinated, duplicate, deceptive, retaliatory, discriminatory, or knowingly false ratings, or use the feature to harass or damage a business or individual.

8. Intellectual property

Vincino, its software, design, text, graphics, trademarks, and non-customer content are owned by Vincino or its licensors and are protected by intellectual-property laws. Subject to these Terms, Vincino gives you a limited, revocable, non-exclusive, non-transferable right to use the service for your internal business purposes during your account term. No other rights are granted. Google and Stripe names and marks belong to their respective owners.

If you believe content in Vincino infringes copyright or trademark rights, use the contact form and select “Copyright or trademark report.” Include your contact information, the protected work or mark, the exact material and location, the basis for your claim, a good-faith statement, an accuracy and authority statement, and your physical or electronic signature. We may remove material, request more information, notify the user, and terminate repeat infringers when appropriate. False notices may create liability. This reporting process does not represent that Vincino has registered a designated DMCA agent.

If you send product feedback, you grant Vincino a perpetual, worldwide, royalty-free right to use it without restriction or compensation, but not to publicly identify you without permission.

9. Third-party services

Vincino interoperates with third-party services, including Google Maps Platform, Stripe, Resend, Vercel, Turso/libSQL, and device telephone handlers. Those services are controlled by their providers and may have separate terms. Vincino is not responsible for a third party's independent service, content, outage, or change, except to the extent non-waivable law provides otherwise.

10. Changes, maintenance, suspension, and termination

We may modify or discontinue features, impose reasonable security controls, or interrupt service for maintenance. We may suspend or terminate access when reasonably necessary to address nonpayment, security risk, abuse, legal exposure, provider restrictions, or a material breach. When practical and lawful, we will provide notice and an opportunity to cure.

You may stop using Vincino and cancel paid renewal at any time. Signed-in users may request their information or permanently delete their account from the dashboard privacy center. An active Vincino subscription is canceled before account deletion. A workspace owner must first transfer ownership or remove other active members so one person cannot erase a team's records without authorization. On termination, your license ends; provisions that by nature should survive - including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute provisions - survive. Data handling after closure follows the Privacy Policy and applicable law.

11. Disclaimers

To the maximum extent permitted by law, Vincino is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, revenue or sales results, legal compliance by users, availability of third-party services, or the completeness or accuracy of map, place, phone, website, prospect information, or Community Signals. Community Signals can be incomplete, subjective, outdated, or based on a small number of contributors. Nothing in these Terms excludes a warranty that cannot lawfully be excluded.

12. Limitation of liability

To the maximum extent permitted by law, Vincino and its officers, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, arising from or related to Vincino.

To the maximum extent permitted by law, their aggregate liability for all claims arising from or related to Vincino will not exceed the greater of (a) the fees your workspace paid Vincino during the 12 months before the event giving rise to the claim or (b) US $100. These limits do not apply where prohibited by law and do not limit liability that cannot lawfully be limited, including for fraud or willful misconduct where applicable.

13. Indemnity

To the extent permitted by law, an organization using Vincino will defend, indemnify, and hold harmless Vincino and its personnel from third-party claims, damages, penalties, and reasonable costs arising from that organization's Customer Data, outreach, violation of law, infringement, or material breach of these Terms. This obligation does not apply to the extent a claim was caused by Vincino's own breach, gross negligence, or willful misconduct. Vincino will provide reasonable notice and allow the organization to control the defense, subject to Vincino's right to participate and approve a settlement that imposes obligations on Vincino.

14. General terms

Neither party may assign these Terms without the other's consent, except Vincino may assign them in connection with a merger, acquisition, financing, reorganization, or sale of substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. Headings are for convenience.

These Terms, the Privacy Policy, the plan and checkout disclosures, and any signed order or addendum are the entire agreement about Vincino and replace prior statements on that subject. Applicable non-waivable consumer and data-protection rights remain in force. Governing-law, venue, and formal legal-notice terms must be supplied in a signed order or Vincino's published legal-entity notice; until then, applicable law determines those questions.

15. Changes and contact

We may update these Terms for legal, security, provider, or product changes. The updated version will show a new effective date. Material changes will receive additional notice when required. If a change requires consent, it will not apply until consent is obtained. Continued use after an otherwise effective update means acceptance where law permits.
